By creating an account, accessing, or using any part of the TaskSuite platform, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms on behalf of yourself or your organisation, and agree to comply with and be bound by these Terms and our Privacy Policy.

TaskSuite provides a cloud-based loan processing and management platform including modules for loan origination, credit assessment, loan servicing, and loan management ("Services"). We may update, modify, or discontinue any aspect of the Services at any time with reasonable notice.

To access certain features of our Services, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorised use of your account
• Be responsible for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that have been used in violation of these Terms.

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable laws or regulations
• Use the Services to process fraudulent applications or facilitate illegal lending activities
• Attempt to gain unauthorised access to any part of the Services or related systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, or disassemble any part of the Services
• Use automated means to scrape, crawl, or extract data from the Services
• Transmit any malware, viruses, or other harmful code
• Resell, sublicense, or otherwise commercialise access to the Services without our written consent

Access to certain features of the Services requires payment of fees as agreed in your subscription or service agreement. You agree to:

• Pay all fees in accordance with your agreed billing terms
• Provide accurate and complete billing information
• Promptly update billing information if it changes

All fees are non-refundable except as expressly set out in your agreement or as required by applicable law. We reserve the right to modify our fees with reasonable advance notice.

Each party agrees to keep the other party's confidential information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or that was independently developed without reference to the disclosing party's confidential information.

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We are not responsible for any issues arising from your internet connection or your own systems and devices.

To the fullest extent permitted by applicable law, TaskSuite and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or in connection with your use of the Services.

Our total liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the twelve months prior to the claim or (b) one hundred dollars (USD $100).

You agree to indemnify, defend, and hold harmless TaskSuite and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, if we reasonably believe you have violated these Terms. You may terminate your account at any time by contacting us.

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

These Terms are governed by and construed in accordance with the laws of the applicable jurisdiction, without regard to conflict of law principles. Any dispute arising under these Terms will be subject to the exclusive jurisdiction of the courts in that jurisdiction.

We reserve the right to modify these Terms at any time. We will provide reasonable notice of material changes by email or by posting a notice on our website. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.
